In order for GMAC to become a bank holding company, they have to meet certain capital requirements. In order to meet the hurdle, the company has asked bondholders to take a haircut in an exchange offer. The problem is, less than 25% of the bonds have been tendered into the offer, and the company needs around 75% for the deal to work.
